Smelli Rosa Legal Settlement Process

General information

At Smelli Rosa LLC (“we”, “us”, “our”), we prefer to keep conflict private to settle things in a kind, calm, respectful manner that benefits all parties wherever possible. We understand you (“client”, “consumer”, “buyer”, user”) have rights. We are genuinely sorry. We want to fix it. We want to make things right.

When you use our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services, you agree to contact us to kindly, calmly, respectfully and privately resolve conflict(s), disputes(s), issue(s), settlement(s), and/or legal matter(s) under our Terms of Use. You agree to email us to engage in kind, calm, respectful, and private dialogue for 90 calendar days from the date of receipt to resolve conflict(s), disputes(s), issue(s), settlement(s), and/or legal matter(s) that you may have with us. You agree to give us, over email, at least three reasonable solutions that benefit we and you. Once we have agreed to a solution, it will be implemented by we and/or you. Afterwards, you agree to not engage with us again about the specific conflict(s), disputes(s), issue(s), settlement(s), and/or legal matter(s). You agree to a limit of 1 legal settlement process per 5 years.

If an agreement cannot be made within 90 calendar days over email, then we and/or you agree to settle in small claims court and/or through arbitration, where a neutral third party will make a legally binding decision that benefits we and you as parties. We and you agree to not file a class action lawsuit.

By using our our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services, you agree to resolve disputes with us privately and/or through small claims court and/or arbitration which will have a neutral third party, called the arbitrator, that will make a legal binding decision that benefits all parties, we and you.

When you use our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services, you agree to not publicize conflict(s), dispute(s), issue(s), settlement(s) and/or legal matter(s) on websites, blogs, news, social media, apps and/or any public means whether digitally and/or physically in a manner that would reveal the identity of our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services.

If you choose to publicize (e.g., social media, news, blogs, radio, podcasts, film, any others) any disputes with us, you agree to anonymously disclose your dispute in a manner that does not negatively publicize our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services through defamation and/or any other harmful means. If you breach this specific agreement, you agree to pay for all related attorney, legal fees, mental health counseling, and/or medical appointments that arise due to the non-anonymous, public dispute you have with us and/or to donate a reasonable agreed amount by us and you to a charitable non-profit selected by our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services.

Filing public class action lawsuits against our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services is harmful. If you file a class action lawsuit against our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services, then the filing party agrees to pay for all the related fees that arise for the opposing party, such as but not limited to reasonable attorney fees, clerk fees, mental health appointments, health appointments, transportation fees for public appearances, media training fees, bodyguard or security fees, and/or any others.

Upon filing a public class action lawsuit against our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services, all licenses will be terminated immediately (if applicable); additionally, you will be permanently prohibited from further using our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services for the rest of your life expectancy.

Additionally, the filing party, you, agree to start attending twelve step recovery program meetings, mental health counseling appointments and/or any other service that uplifts you at least two times each month for three consecutive years at a minimum for a total of seventy two instances. At the end of the three years, you agree to create an uplifting space of your own and to share privately with our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services. Our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services are not required to respond but will have gratitude and appreciation.

Jurisdiction and governing law

Our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services are governed by in accordance with the provisional laws of the state of Arizona. Any disputes will be subject to the exclusive jurisdiction of the court of Maricopa County, Phoenix, Arizona, United States.

By using artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services, you consent to the jurisdiction and/or venue of Arizona state Maricopa County in the city of Phoenix court for any legal action related to your use of our artist, brand, small business, spaces, website www.smellirosa.com, web content, documents, applications, and/or related services.
